Memo Part 3 of 6. Marketplaces, Second Half, and How Deals Close. Empire Flippers Curated Digital What Trades Here. Content Sites, Ecommerce, and FBA. SAAs, YouTube Channels, and Digital Agencies. Pricing is shown as an annual multiple of net profit, switched September 8, 2026. From its 2026 state-of-the-industry figures quoted on its own blog, typical listings 2.3 times annual net profit, premium 2.6 times, 7-figure premium 3.4 times, distressed 1.1 times.

Its seller fact gives a valuation range of 1.7 times to 5 times plus, depending on age, stability, and traffic and revenue diversity. About half of listings are priced below 300K and are overwhelmingly purchased by individual buyers, often making their first acquisition, its own blog. Voting and the risk that stays strongest pre-listing process among the digital platforms on the evidence found.

Sellers must supply complete monthly revenue screenshots, verified expenses, and Google Analytics or Clicky Access, and Empire Flippers builds the listing and valuation from that.

The residual risk is not fake revenue so much as durability, SEO, and Google Update exposure, Amazon policy and fees, a single traffic channel, and earnings propped up by the founder's unpaid labor. Voting eliminates none of those. Buyer costs, no buyer commission, no buyer subscription, free escrow and migration, per investors club's fee review and Empire Flippers own migration description.

Access is gated by identity and liquidity verification, government ID or persona video check, played or statements for proof of funds, and buyers can only unlock listings up to their verified liquidity band with a limited number of unlocks. Seller commission for context from its own FAC, no listing fee, blended commission with a $10,000 minimum, 15% up to 700K, 8% on the 700K to 5M portion, 2.5% above 5M, two months exclusivity.

How a deal moves register, verify ID and funds, unlock a listing, URL, analytics, P&L revealed, Q&A or a conference call with a seller for listings over 100K, Empire Flippers mediates. Offer at or below ask, part upfront, part over months, is contemplated in its FAC, payment into escrow, then its migration team transfers the site and accounts, one to three weeks, sale to payment on average, and funds release.

Fit for this search, best risk reduction per dollar for a first digital deal, real transfer support, honest annual multiple pricing, lots of sub $300,000 starter deals and real verification behind the listings. But inventory is digital only and mostly not semi absentee under $1M. Content and e-commerce need continuous publishing, ads and supplier work. Pricing carries a curation premium and there is nothing local and no SBA Main Street fit.

Flags, the listing criteria and roughly 91% rejection rate, at least $2,000 a month net profit averaged over 12 months, at least 12 months of revenue, at least 3 months of analytics. Service businesses at most 50% of revenue from one client. These come from an Investors Club summary, not an Empire Flippers criteria page fetched in this research. Treat is credible but secondary. Also, older reviews describe a 5% referable deposit to unlock a URL.

Recent sources describe proof of funds unlocks with no deposit, which applies to a given listing today is unverified. Check the unlock screen before assuming either. Website closers brokered digital. What trades here? Our focus is on digital and online companies. Amazon FBA, SAS, e-commerce, e-learning, tech, agencies? It is a franchise brokerage, not a self-serve marketplace.

A sampled listings page, page 9, read October 17, 2026, showed asking prices of 1.22M to 24M with cash flow implying roughly 3.3 to 4.1 times cash flow. For example, $1,500,000 on $457,833, $2,300,000 on $642,298, $5,500,000 on $1,137,229 is 4.8 times. Many flagged pending and several SBA pre-qualified, third-party profiles describe a 1M to 1 billion plus range.

Vetting and the risk that stays the broker prepares the valuation, reviews financials, markets confidentially, and qualifies every buyer, requires signed NDAs, and only shares sensitive details once interest is confirmed. Its location pages describe the standard staged pipeline, generic teaser, then NDA plus documented proof of liquid capital, then the CIM. That screens buyers more than it audits sellers. The CIM is still a seller and broker marketing document.

Add-backs and adjusted margins still need a quality of earnings check and e-commerce and SaaS risks, ad account dependence, inventory obsolescence, platform policy, survive broker vetting entirely. Buyer costs, no buyer fee published. The seller pays a success fee only, no upfront retainer. The firm's M&A FAC states the fee is a percentage of final price that varies by deal size and requirements, flat or Lehman style, paid by the seller at closing, and the firm does not publish the percentage.

As a buyer, expect to be asked for an NDA, a buyer background, and proof of funds or liquid capital before the CIM is released. How a deal moves broker mediated throughout? Buyer on a listing, broker qualification call, NDA plus proof of funds, CIM, management call, LOI through the broker, diligence and SBA if flagged pre-qualified, then purchase agreement and closing via attorneys in escrow with the broker coordinating.

The firm's stated timeline for SMB and lower middle market deals, 30 to 120 days. Fit for this search, a real broker does buyer qualification and process management, and the one to two M dollar bottom end occasionally includes exactly the target profile. Retainer based agencies, lead gen, niche SAAS, SBA pre-qualified filtering saves, time, but most inventory is priced for strategic PE and sponsor buyers, rather than a sub 2M searcher.

Flag, any specific website closer's commission percentage found on review sites is unverified. The firm deliberately does not publish it.
